Investing in people and South Africa / Equity Ownership

Transformation through broad-based black economic empowerment and skills development is a strategic imperative and our approach to B-BBEE is based on equity and ownership, management and control, employment equity, skills development, preferential procurement, enterprise development and socioeconomic development.

Imperial Logistics has received it's 2017 certification as a Level 2 BBBEE company, with a value-add preferential procurement status of 125%. Value-add status enhances the group’s Preferential Procurement level which is higher than that of a Level 1 status supplier. Imperial Logistics was verified by AQRate verification services on the Generic Scorecard for the Road Freight sub-sector in October 2017.

Imperial Logistics leadership has adopted a proactive approach to managing the broader BEE process to leverage this process and derive a competitive advantage – for ourselves and our customers. The Black shareholding in Imperial originates from two BEE transactions with LEREKO Mobility and UKHAMBA Holdings. Due to the complexity of the shareholding structure which resides with Imperial Holdings, it was necessary to apply a number of rules as specified by the Codes when our ownership status was measured. These include requirements for BEE Trusts, the modified flow-through principle, the exclusion of mandated investment shareholding and the exclusion of the value of international operations.

Imperial Technical Training Academies

The year under review saw the rise of the Imperial Technical Training Academy (ITTA) brand as a recognised, reliable and industry defining player. It is acknowledged as the industry change driver in terms of curriculum development, learning materials, public-private partnerships and collaborative associations with competitors.

ITTA promoted “The Year of the Artisan” in line with a call by Minister Blade Nzimande for closer collaboration between industry, education, Further Education and Training Colleges (FET’s) and government. It established a number of critical initiatives that will change the country’s technical training landscape significantly in the next few years.

Imperial also introduced a model to facilitate training and workplace exposure opportunities for FET staff and teachers at our academies and dealerships.

The Training Network of Academies

The Group has developed and operates three accredited technical training centres - Germiston Passenger Technical Training Academy; Wadeville Technical Training Academy, and Cape town Technical Training Academy. Training programmes that are presented are amongst others mechanical training for petrol, diesel, heavy trucks, motor cycle apprentices.

Equity ownership

Broad-based black economic empowerment seeks to increase the equity ownership in businesses by black people. We recognise that this forms a critical part of economic transformation and put in place a number of vehicles to extend equity ownership to black South Africans. Ukhamba Holdings was founded in 1998 with an initial seed capital of R15 million provided by Imperial as an enterprise development business partnership to generate wealth and facilitate skills transfer for Imperial’s historically disadvantaged employees.

In 2004, Ukhamba was offered a 10,1% share in Imperial to create the Ukhamba Trust, for the group’s previously disadvantaged employees, and the Imperial and Ukhamba Community Development Trust for the benefit of some of the communities where our staff reside.

Around 15 000 historically disadvantaged employees in Imperial companies were given units, depending on their length of service with the group – two units for less than three years, three units for three to ten years; four units for 10 to 20 years and six units for more than 20 years.

The Imperial and Ukhamba Community Development Trust

While businesses select their own CSI programmes in line with their core business, they also contribute annually to the Imperial and Ukhamba Community Development Trust which assists selected schools in previously disadvantaged communities. It provides curriculum development support, library facilities and staff, and extracurricular activities, so that children at these schools can benefit from a well-balanced holistic education.

There are presently eight beneficiary schools, situated in the south of Johannesburg where the unemployment rate is very high.

The Trust’s work initially focused on ensuring that learners had sufficient stationery and that educators had access to suitable teaching resources and materials, received curriculum training and were assisted by teacher mentors. While the Trust continues to provide this ongoing support, it expanded its libraries programme during the year. This investment in the education of the next generation is not only a social responsibility, but a business imperative too and one that will secure ongoing talent for our business.

The pillars of our sustainability commitment include people development, energy efficiency, the recycling and reuse of water, the careful management of fossil fuels and use of biofuel wherever possible, sustainability management systems that monitor our environmental impact, and the responsible discarding of used vehicle parts and other waste.
